Job Description:

Legal Analyst 3


Responsible for providing all manner of legal support to corporate attorneys, including but not limited to, conducting legal research and writing as well as assisting with the management of a variety of legal projects.


Maintain corporate records and databases.

Draft corporate housekeeping resolutions, including delegations of authority and warrants.

Support attorneys in preparation for director and shareholder meetings.

Prepare and submit federal and state corporate filings and notices.

Perform legal research using legal research tools and online databases and prepare resulting memos.

Assist corporate attorneys with litigation, including managing case files, preparing basic pleadings, and responding to discovery requests.

Support corporate attorneys in meetings with officials of governmental entities.

Monitor developments in laws, regulations, litigation and assigned projects.

Provide regular reporting to attorneys on legal issues/projects.

Interpret laws, rulings, and regulations.

Advise corporate attorneys on issues that may require additional legal review.

Identify legal risks and propose alternative structures to mitigate such risks.

Provide asset and corporate level due diligence.

Assist with employee training on a variety of legal/contract issues.


Requires a J.D. or five to seven years of legal support experience.

Normal demands associated with an office environment. Ability to work on computer for extended periods and communicate with individuals by telephone, email and face to face. Some travel may be required.
