S/he owns superior project management skillsand substantial corporate transactions experience with significant exposure toa broad range of tax, finance and accounting issues in the context of internalreorganizations and restructurings, issuances and transfers of equity and debt,transfer pricing/factoring programs and related corporate governance laws,rules and guidelines.Position DescriptionProvide legal advice and draft legal documentation required for internal reorganizations/restructurings of McKesson's subsidiaries worldwide;Draft sale, loan, contribution, share purchase and other intercompany agreements;Draft/review transfer pricing and related contracts;Support various subsidiary corporate governance initiatives enterprise-wide;Monitor and provide periodic updates on changing laws, rules, guidelines and policies that could impact the corporate governance of McKesson's subsidiaries; andAssist in oversight and management of paralegals, outside counsel and various other service providers, as needed.QualificationsMinimum Requirements6 years as practicing attorney Critical Skills6 years as practicing attorney at major law firm with exposure tosophisticated transactional work, including domestic and international M&A forone or more multi-national enterprises;Projectmanagement experience with exceptional attention to detail;Successfullymanages multiple competing deadlines across multiple time zones;Very organizedand process-oriented;Familiarity with generalcorporate, tax, accounting and finance concepts;Familiarity with subsidiarycorporate governance, including drafting, reviewing and revising board meetingagendas and minutes and general corporate laws governing formations,dissolutions, withdrawals, mergers and conversions, etc. and related corporateapprovals; andProficient using Microsoft Word, PowerPoint, BoardVantage and the Global Entity Management System (GEMS) or similar programs.Additional Knowledge & SkillsExceptional verbal and written communication skills;Able to research and manage changing legal and business requirements and make appropriate r...
