As First Community Bank's Associate Counsel, under the direct supervision of Senior Counsel, you will be the internal point person for all contract management, negotiation and renewal. Additionally, you will act as an advisor to internal staff on a broad spectrum of legal issues that involve the evaluation of available option as well as identification and assessment of the business and legal risk associated with such choices. This is an exciting and unique opportunity providing exposure to virtually every facet of the law.

Primary Duties:

  • Draft, negotiate, and review contracts. Contracts predominantly include master service agreements, statements of work, amendments, NDAs, and vendor contracts.

  • Act as the internal legal point person for all contract renewal, negotiations, and management including evaluating potential risk, identifying consolidation opportunities, and providing analyses of available options throughout the contracting process.

  • Develop tools and solutions for the enhancement of contract-related processes and documentation.

  • Address all contract related issues as they arise, including inquiries from clients, investors, the leadership team, and regulators.

  • Respond to inquiries involving legal issues from all areas of the Bank and its subsidiaries

  • Conduct thorough legal research as necessary and effectively communicate the findings of such research in a business oriented context

  • Participate in cross-functional work groups and provide legal guidance on company initiatives

  • Assist senior counsel as needed

  • Other duties as assigned


Required Skills & Qualifications:

  • JD from accredited law school and admission to (and good standing in) any jurisdiction

  • Accuracy of work product is of the upmost importance. Similarly, very high level of attention to detail is a must.

  • Ability to adhere to very strict, quick-approaching deadlines, and prioritize multiple tasks so as to adhere to such deadlines.

  • Must be extremely proficient and efficient when it comes to analytical research and legal writing. Writing sample will be required, and, potentially, a written test.

  • Effective communication and collaboration is imperative. Essential that this person can work cordially amongst various teams.

  • Strong business and financial acumen and ability to exercise such judgment under time constraints is required.

  • Ability to work successfully on multiple projects in a critical team environment

  • Ability to work with minimal supervision

  • Demonstrated proficiency using basic computer software, such as Microsoft Office

  • Ability to carry 5 lbs and sit at a computer for extended periods of time

Preferred Skills & Qualifications:

  • Admission to the West Virginia and/or Virginia State Bar

  • Three - Five years in a business environment in counsel capacity or comparable law firm experience.

  • Legal experience in the areas of secured transactions and collection of debt, including loans secured by real estate.

  • Proven ability to negotiate contracts independently and directly.
