Corporate Counsel Broomfield A growing company in Broomfield that builds infrastructure and landmark projects, is seeking Corporate Counsel with Juris Doctorate and 7+ years' post-bar professional experience. In-house corporate experience is preferred. Corporate Counsel must be licensed in one or more of the following states: CO, CA, NC, NY, WA. It is preferable that you have prior experience with the heavy civil construction industry and experience in mining and oil gas will be considered. Experience on large scale design/build and PPP (P3) transactions is strongly preferred. You will report to the VP of Legal and will work closely with the VP and US Business Development. Corporate Counsel will provide legal advice and counsel to management team related to the company's business including transactional, operational and corporate governance matters and will work with field personnel to mitigate legal issues. Responsibilities include: contract review for project bidding; drafting and negotiating construction related contracts, including joint venture agreements, design services agreements, concession agreements (P3 transactions), design-build construction contracts, bid-build construction contracts, subcontract agreements, interface agreements, lenders' direct agreements, parent company guarantees, and non-disclosures agreements. You will review project contract documents and identify and analyze legal risks, work with joint venture partners and external counsel to close deals, prepare user manuals summarizing key components of project contracts, request for proposals (RFP), draft and update company contract templates, assist in responding to attorney letters and agency matters, provide legal advice to key internal and external leaders, develop collaborative relationships with personnel of all levels, establish and ensure compliance with contract management procedures, provide ongoing support to project site teams, provide training to project site team re contractual issues, interpret and ensure adherence to legislation, manage external counsel and report on legal budget, and manage members of transactional counsel and legal assistant. Corporate Counsel must be able to work with all levels of the organization, be able to work in busy and fast-paced environment, have flexibility to travel when required, and be a team player who takes initiative while being open to others' perspectives.
