Job Summary

The attorney filling this position will be primarily responsible for assisting the Infrastructure Debt and Private Placements teams of the Global Private Credit Group at Barings LLC with issues related to infrastructure / project finance, privately placed corporate, and aircraft debt finance transactions and related work-out and creditor rights matters.

Primary Responsibilities

  • Provide day to day support to Infrastructure Debt and Private Placement analysts and portfolio managers on issues related to investments in infrastructure, project finance and aircraft finance investment, bank loans and private placement bonds

  • Manage outside counsel, review investment documentation and provide support to the business units for infrastructure / project finance, privately placed corporate, and aircraft debt investments (bonds / notes / loans)

  • Review and analyze primary investment documents and amendments

  • Communicate legal analysis of investment agreement and amendments to research analysts

  • Provide general legal support for the Global Private Credit Group

  • Provide general support to other law department projects and initiatives


  • Minimum 5 years of legal experience at a law firm or financial institution related to one or all of the following asset classes: infrastructure / project finance, aircraft finance, senior lending, corporate private placements (Reg D and/or 144A), corporate finance, bankruptcy or distressed debt transactions

  • Experience drafting and negotiating debt investment agreements and related documentation

  • Knowledge of Investment Advisers Act

  • Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment

  • Demonstrated ability to work effectively both independently and as part of a team

  • Ability and willingness to take ownership and responsibility for tasks

  • Detail-oriented and flexible with a strong work ethic

  • Must be able to manage heavy work load of diverse matters in a timely manner

  • High standards of personal integrity

  • Diverse problem solving skills in the investment arena

  • Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel and other third parties at senior levels

  • J.D. from a highly-regarded law school

  • Licensed to practice law in North Carolina (or another US jurisdiction, with the ability to obtain license in North Carolina)

  • Must be willing to comply with the provisions of Barings Code of Ethics related to personal securities activities and other disclosure and certification requirements

Experience with any of the following preferred but not required:

  • Negotiating and drafting private fund formation and offering documents, investment advisory agreements and other related contracts

  • Previous experience at an investment manager or similar organization

  • International tax
