Yale University Paralegal in New Haven, Connecticut

Position Focus: Provides high-level support to Director and team of Clinical Agreement Management; ensures that all Clinical Trial Agreements (CTA), Amendments and Confidentiality Disclosure Agreements (CDA) for Yale University are drafted, negotiated and managed efficiently and accurately and in accord with policies and best practices of Yale University; establishes, organizes, researches, and manages contract files. Draft and review CTAs, Amendments, CDAs and other agreements; communicate with and draft correspondence to sponsors, internal stakeholders and negotiate contract terms; communicate status of agreements and terms to all stakeholders; draft and mange boilerplate and compare and analyze proposed contract terms; interact regularly with Office of Sponsored Project staff and related departments.

Essential Duties 1. Performs legal, statistical, documentary, factual, and records research. 2. Identifies relevant judicial decisions, statutes, legal articles, codes and other pertinent material; reviews and monitors new and updated regulations. 3. Organizes, analyzes, cross-checks and validates information. 4. Drafts legal documents including contracts and legal agreements using templates. 5. Checks legal forms and documents for accuracy. 6. Maintains law library. 7. Co-ordinates law office activities such as subpoena response, diligence production/review. 8. Locates and communicates with witnesses. 9. Interacts with clients, counterparties and other University departments. Summarizes agreements, documents, depositions, interrogatories, and testimony. 10. Attends real estate closings, depositions, court or administrative hearings and trials with the attorney. 11. Authors and signs correspondence that do not contain independent legal opinions or legal advice. 12. Maintains reference/client files, organizes and tracks case and governmental files. 13. May perform other duties as assigned.

Required Education and Experience Bachelor’s degree and two years of related experience or the equivalent combination of education and experience.

Required Skill/Ability 1: Excellent oral and written communication skills, including proofreading skills.

Required Skill/Ability 2: Strong academic credentials, or related experience, a working knowledge of contracts and excellent drafting and analytical skills, including ability to compare and analyze documents.

Required Skill/Ability 3: Strong organizational, time-management, and problem-solving skills are essential; must demonstrate attention to detail. Competence as a paralegal.

Required Skill/Ability 4: Ability to work independently and in a team structure with high volume and deadline driven workload.

Required Skill/Ability 5: High level of computer literacy and know-how, including MS Office suite is required.

Preferred Education, Experience and Skills: Two years experience in contract review and negotiation as well as wide-ranging administrative experience, including drafting and managing a high volume of contracts and documents.
