Position Description:

American International Group, Inc. (AIG) has an opportunity for a Counsel to join its growing Mergers & Acquisitions Legal (M&A Legal) team of the Global Legal Regulatory and Compliance (GLCR) department. In this position you will join M&A Legal in providing legal representation and advice to AIG’s Corporate Development group and other internal business sponsors in connection with a variety of group-wide transactions including mergers and acquisitions, strategic equity investments, divestitures, and restructuring, primarily in the insurance, asset management, financial services and FinTech industries. This position is based in New York and will report to a senior lawyer in M&A Legal.

Responsibilities will include the following:

• Provide business-focused legal advice with respect to transactional, corporate governance, regulatory and securities law issues in connection with with M&A transactions; • Drafting confidentiality agreements, purchase and sale agreements and other related documentation in connection with M&A transactions; • Coordinate internal approvals, engagement of outside counsel and investment banks; and • Manage outside legal expenses.

Position Requirements:

• Three to five years of major law firm experience as a corporate associate with significant M&A experience; • Strong legal, drafting and analytical skills; • Strong attention to detail; • A team player who will work well with M&A Legal team members, the broader legal department and clients; and • Juris Doctor (JD) and admission to one state bar, preferably New York.
