Microsoft Tax is responsible for Worldwide Tax Reporting, Compliance and Planning as well as for coordinating worldwide tax functions. There are five major functions within Microsoft Tax: 1) Tax Affairs; 2) International Tax and Transfer Pricing; 3) Tax Reporting; 4) Corporate Tax Planning & Controversies; and 5) Indirect Tax
The Corporate Tax Planning & Controversies group is looking for a tax attorney to join our M&A and tax planning team. As a member of this group, you will be involved in all aspects of planning, structuring, and executing internal and third-party M&A transactions, both domestically and internationally.
Primary responsibilities will include:
Supporting the cross-functional team that manages third-party corporate acquisitions by helping develop tax structures, coordinate tax due diligence performed by external advisors, drafting the tax provisions of contracts, and planning for the integration of acquisitions.
Evaluating the tax costs and benefits of corporate transactions and investments.
Working with the tax planning team and other stakeholders to plan and execute internal restructuring transactions.
Developing strong working relationships among cross-functional teams, including Corporate and Legal Affairs, Corporate Development, Treasury, Corporate Accounting, and Venture Integration.
4-8 years of complex federal income tax planning experience required, with international tax experience preferred;
JD (juris doctor) required, with an LLM or MBA a plus;
Experience managing complex tax matters at a law firm, Big Four accounting firm and/or a large multinational corporate environment preferred;
Highly motivated, hard-working, and able to deliver in a fast-paced environment;
Excellent tax research and writing skills;
Effective interpersonal skills, including persuasive written and oral communication skills;
