Cypress Creek is currently seeking a corporate/transactional attorney to join the company’s office in Santa Monica, CA. This individual will be responsible for managing the negotiation of commercial agreements and providing legal support on M&A transactions at Cypress Creek. The position will report directly to the Assistant General Counsel.

Essential Duties and Responsibilities:

  • Act as legal lead on the review, drafting and negotiation of a wide variety of commercial agreements, including master services, consulting, engagement, broker, vendor and confidentiality, while partnering with relevant internal and external commercial leads as necessary.

  • Support the legal lead on the acquisition and sale of solar energy facilities. Work with finance team to structure and plan M&A transactions, with the expectation of becoming legal lead after obtaining requisite transactional experience. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.

  • Work directly with project buyers and sellers and other business partners to negotiate commercial issues.

  • Coordinate diligence efforts on M&A transactions, working closely with the company’s finance, development and EPC teams.

  • Manage internal paralegals to support transactions.

  • Manage outside legal counsel and consultants, as needed, to facilitate M&A transactions.

Requirements

  • J.D. from accredited law school and current license to practice.

  • 1-3 years of experience with a law firm or in-house legal department.

  • Knowledge of and experience drafting and negotiating commercial contracts.

  • Experience negotiating M&A transactions, especially within the renewable energy industry, will distinguish the candidate but is not required.

  • Exceptional problem-solving skills and business-oriented approach to resolving legal issues.

  • Exceptional written, verbal and interpersonal communication skills.

  • Ability to prioritize multiple assignments and meet tight deadlines.

  • Ability to analyze complex issues and advise internal business partners appropriately.

  • Fluency with or eagerness to learn about the solar industry to the extent necessary to counsel the business.
