Cypress Creek is currently seeking a corporate/transactional attorney to join the company’s office in Santa Monica, CA. This individual will be responsible for managing the negotiation of commercial agreements and providing legal support on M&A transactions at Cypress Creek. The position will report directly to the Assistant General Counsel.
Essential Duties and Responsibilities:
Act as legal lead on the review, drafting and negotiation of a wide variety of commercial agreements, including master services, consulting, engagement, broker, vendor and confidentiality, while partnering with relevant internal and external commercial leads as necessary.
Support the legal lead on the acquisition and sale of solar energy facilities. Work with finance team to structure and plan M&A transactions, with the expectation of becoming legal lead after obtaining requisite transactional experience. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
Work directly with project buyers and sellers and other business partners to negotiate commercial issues.
Coordinate diligence efforts on M&A transactions, working closely with the company’s finance, development and EPC teams.
Manage internal paralegals to support transactions.
Manage outside legal counsel and consultants, as needed, to facilitate M&A transactions.
J.D. from accredited law school and current license to practice.
1-3 years of experience with a law firm or in-house legal department.
Knowledge of and experience drafting and negotiating commercial contracts.
Experience negotiating M&A transactions, especially within the renewable energy industry, will distinguish the candidate but is not required.
Exceptional problem-solving skills and business-oriented approach to resolving legal issues.
Exceptional written, verbal and interpersonal communication skills.
Ability to prioritize multiple assignments and meet tight deadlines.
Ability to analyze complex issues and advise internal business partners appropriately.
Fluency with or eagerness to learn about the solar industry to the extent necessary to counsel the business.
