Job Summary

The Corporate Paralegal will work with the General Counsel and Associate General Counsel to coordinate Board meetings and presentation planning, materials and document retention; be responsible for and assist in the planning and management of securities filings including Forms 10-K and 10-Q, proxy statements, and registration statements; assist with the creation of earnings releases and investor relations materials; coordinate NYSE compliance efforts; assist with Annual Meeting scheduling and preparation; M&A support; and helping to maintain foreign and domestic entities.


The ideal candidate will have between five and ten years of relevant experience, strong organizational talents, exceptional written and verbal communication skills, and a passion for detail. Comfort working and interacting with senior management and directors as well as discretion handling confidential and sensitive information is essential. Curiosity and a desire to improve existing processes are strongly desired.


You will assist the General Counsel and Associate General Counsel to:

  • Schedule and prepare for meetings of the Board of Directors and its various committees including researching issues, preparing meeting materials and monitoring and coordinating the preparation of meeting materials by others, as needed, timely distribution and maintenance of meeting materials, and coordinating calendars of directors and executives.

  • Prepare meeting minutes of the Board and its committees, administer and monitor the secure distribution and retention of meeting minutes, and ensure that corporate records comply with corporate policies, procedures, guidelines and internal controls.

  • Gather data, research and draft applicable portions of securities filings including risk factors for Forms 10-K and 10-Q, as well as Forms 8-K, and S-8.

  • Draft annual proxy statements and develop and maintain processes and calendars to efficiently and effectively track the timely production of data, supporting documentation and other deliverables from others throughout the organization, prepare annual directors and officers questionnaires, and ensure the appropriate distribution of annual report and proxies to shareholders.

  • Coordinate and oversee the production of the Annual Meeting, including development and maintenance of processes and calendars.

  • Develop, review and revise quarterly earnings releases and related investor relations materials.

  • Support M&A activities, as needed.

  • Maintain compliance with NYSE filing obligations including annual certifications and affirmations, filing supplemental listing applications, and updating corporate data.

  • Organizing and maintaining numerous foreign and domestic entities including minutes books, legal, financial and tax reporting obligations and filings, drafting minutes and consents, and other similar activities.

Job Requirements

  • Bachelor’s degree strongly preferred.

  • 3-5 years of corporate paralegal experience, ideally in a public company

  • Effective time management and organizational skills with a high level of attention to detail.

  • Evidence of successfully drafting and proofreading high volumes of documents.

  • Strong proficiency in Microsoft Office particularly Word, Excel and PowerPoint

  • Able to work well under pressure in a fast-paced environment and exercise sound judgment and discretion.

  • Willingness to remain flexible and a desire to tackle new and unanticipated challenges.

  • Pleasant personality and eager to work with a small but dedicated legal team.
