Raytheon Counsel-Pension Investments in Waltham, Massachusetts

Raytheon’s Office of General Counsel is seeking an attorney to support its pension investments group at Raytheon’s Global Headquarters in Waltham, Massachusetts. Reporting to the Senior Counsel, Pension Investments, this position will be responsible for pr oviding investment-related legal and compliance assistance to our pension investments group in the management of approximately $40B in plan assets . The successful candidate will be directly involved in the review and negotiation of alternative investments and investment management agreements, managing SEC/CFTC filings, management of investment related trust litigation and interfacing with external investment managers, trustees and outside counsel. Key Responsibilities Include: Negotiation of private equity, real estate and hedge fund investments including review of fund documents, updated document review, side letter triggers and partnership amendments Negotiation of fund side letter agreements and ongoing improvement of template terms, coordination with internal and external tax partners Negotiation of investment management agreements and amendments Negotiation of non-disclosure agreements for potential investments, service provider and consultant agreements Securities related diligence on external managers including review of compliance procedures, Form ADV disclosures, SEC investigations and audit letters Securities law compliance for pension trusts including SEC 13f institutional investor and 13h large trader filings, monitoring, compliance and exemption filings with National Futures Association and CFTC for exemptions for derivatives usage and commodity pool operator exemption filings, annual LEI, know your customer filings with broker dealers Respond to requests for routine subpoenas, class actions and other litigation requests with internal and external litigation support Prepare legal updates for investment staff Basic Qualifications: J.D. from an accredited US law school, bar status in good standing 4+ years of experience in a law firm or in-house legal with significant investment management experience, including institutional investment products Strong organization ability and excellent written and verbal communication skills Ability to think and work independently, proactively and strategically Ability to interact well with multiple levels of the organization and maintain strong relationships Desired Qualifications: Familiarity with ERISA a plus 104594
