Olin Corporation is hiring a Sr. Counsel for the Chlor Alkali Products & Vinyls Division. This attorney will serve as a key member of the legal team, providing legal support for decisions and actions to grow the businesses within Olin's Chlor Alkali Products & Vinyls Division while ensuring compliance with laws as well as Olin's policies and values. The successful candidate will provide legal counsel on a range of primarily commercial matters within the CAP&V Division with a focus on work related to the sales and marketing teams within the CAP&V businesses. This attorney will also provide ongoing support to the Deputy General Counsel & VP -CAP&V on various other matters and special projects based on the candidate's background and needs of the Division. The position will be located in Clayton, MO.

The Epoxy segment produces and sells a full range of epoxy materials, including allyl chloride, epichlorohydrin, liquid epoxy resins and downstream products such as converted epoxy resins and additives. Winchester's principal manufacturing facilities produce and distribute sporting ammunition, law enforcement ammunition, reloading components, small caliber military ammunition and components and industrial cartridges.
Provide legal advice to members of the company's management and operations teams on legal issues associated with the CAP&V Division.
Draft, negotiate and review various recurring commercial and business agreements, including but not limited to:
Work closely with and develop strong relationships with the sales and marketing teams as well as senior Division leadership to facilitate Division business goals and objectives.
Ensure compliance with current contract policy and procedures and identify areas for improvement.
Assist with the resolution of customer issues.
Help drive legal strategy for the CAP&V Division.
Educate and provide counsel to the Olin CAP&V Division sales and marketing team on compliance, risk management, and legal issues relating to the CAP&V businesses.
Stay up-to-date on regulatory and law changes; interpret laws, rulings and regulations and determine how they apply to Olin and in particular to the CAP&V Division. Review company policies and programs for legal risk and recommend updates and revisions.
Prepare and provide proactive training to the sales and marketing teams on legal topics, including anti-trust law.
Effectively collaborate with and manage outside counsel on matters assigned.
Work closely with other functions including, EHS, Manufacturing, HR, Finance, etc.
Collaborate with other members of the legal team to ensure consistent quality of services and exchange of best practices between the CAP&V Division and other Olin business units.
Licensed to practice law in at least one state, with the ability to obtain Missouri in-house admission within six (6) months.
Juris Doctorate or LLM degree from an ABA accredited law school.
Minimum 8 years of relevant legal experience with a major law firm or corporation.
Strong commercial and business law background, preferably within the chemical and manufacturing industry.
Must be able to legally work in the United States on a permanent basis (U.S. Citizen, U.S. Permanent Resident).
Must have passport and be able to travel domestically and internationally. Position will require 15-20% travel.
Experience in international transactions and business a plus.
Ability to interact with all levels of management and outside law firms.
Strong ability to deal with ambiguity and work well under pressure.
Ability to competently respond quickly to time-sensitive business requirements.
Team oriented, legal technology savvy and bias toward action are critical.
The successful candidate must be able to function collaboratively and be open to sharing, growth and learning in a team environment consistent with the goals and principles that guide the Legal Department.
Strong negotiation and communication skills are also key to a strong and beneficial client counseling relationship.
The ability to deal efficiently with time sensitive demands from a variety of clients is essential.
Hours match the needs of clients and the demands of specific projects. The ability to be reached by clients and others on the legal staff during off-hours is important. Ease of interaction and spontaneous communication are also key to a strong and beneficial client counseling relationship.
