This position will be responsible for working on a variety of corporate legal matters, with a focus on corporate governance and corporate organization.

Essential Job Functions:
* Assist on a variety of corporate legal issues and projects
* Oversight of subsidiary entity and director and officer management, including:
o Assist in the formation and dissolution of entities; changes in entity organization structure and management and other changes for the Company's many subsidiaries
o Review (and in some cases prepare) minutes, resolutions, powers of attorney and corporate organizational documents, including certificates of incorporation and bylaws
o Work extensively with outside counsel and various agencies and authorities with respect to entity filings
* Prepare Section 16 filings (Forms 3, 4 and 5) for filing with the SEC

Required Experience:
* 5+ years of experience as a corporate paralegal in a law firm or in-house (mix of in-house and firm experience is preferred)Knowledge, Skills, & Abilities:
* Must have excellent oral and written communication skills and organizational skills
* Ability to handle multiple projects and matters comprehensively and with great attention to detail
* Team player with the ability to work with all levels of the organization
* Ability to adjust to shifting priorities Physical Requirements: Office environmentWork Conditions: May require occasional weekend and evening hours.
