Job Summary:

Provide paralegal support for the corporate governance and securities function. This position requires 5+ years of experience with a focus on corporate governance, securities disclosure, executive compensation and employee benefit plans.The ideal candidate will have demonstrated ability to work and communicate effectively with Senior Leadership and have courage to speak up and voice their opinion with leadership and internal customers.

Primary responsibilities include:

Securities/Corporate Governance

  • Assist with proxy statement preparation and documentation including change in control calculations, as necessary

  • Prepare Supplemental Listing Applications for the New York Stock Exchange, as necessary

  • Prepare SEC Form S-8 (registration of shares) as necessary

  • Assist with Exchange Act reports (8-K, 10-Q and 10-K), including preparation and maintenance of exhibits.

  • Assist in the implementation/administration of legal department governance policies and processes

Benefit Plans

  • Maintain governance policies and processes for benefit plan amendments, equity awards and secretarial certificates

  • Maintain all employee benefit plan records (plans, SPDs, trusts, amendments, and histories)

  • Assist with company’s equity programs, including serving as a liaison between Legal, Finance, Payroll and HR for all equity plan and shareholder related matters

Subsidiary management and contracts

  • Develop and implement a leading practice approach for corporate governance for legal entities, including implementing, managing and administering the legal entity process and become primary owner of hCue, our entity management software

  • Maintain corporate records, including resolutions and minutes, coordinate signatures, manage registration and maintenance of each entity in good standing, ensure annual reports are filed, and coordinate paperwork for international entities to ensure annual and on-going compliance with corporate and business registration requirements.

  • Oversee subsidiary governance of all subsidiaries including foreign entities

  • Oversee the legal entity process with support staff and/or counsel in the country of incorporation to:

  • Select and coordinate appointment of directors and officers including any required local country directors;

  • Maintain corporate database of officers, directors and other pertinent information of the company and its subsidiaries

  • Research status of corporations, coordinate, review, and assist in creation, merger, and dissolution procedures

  • Manage inter-company agreement process

  • Support of M&A transactions including preparing for closing and organization and preparation of due diligence materials

  • Register trade names (also known as doing business as names) as required

  • Qualify entities in states as required

  • Management and administration of corporate contract files

Other

  • Clearly and succinctly convey information and ideas to individuals and groups; communicate in a focused and compelling way that captures and holds others' attention.

  • Enter Incident Reports into contract database

  • Assist in special projects

  • Assist in preparation and filing of Conflict Minerals Disclosure

Requirements:

  • 5+ years related paralegal experience with a global company and/or law firm

  • Knowledge and experience in the areas of employee benefit plans, executive compensation, corporate governance, securities (’33 and “34 Act) a plus

  • Experience with management of foreign subsidiaries

  • Bachelor’s Degree and/or Paralegal Certificate or equivalent education or experience

  • Excellent communication, interpersonal skills and collaboration skills with individual and group partners

  • Demonstrated leadership skills that result in the production of high-quality services and exceptional standards

  • Strong organizational skills, ability to work in high pressured environment and attention to detail is imperative

  • Proficiency in Word, Excel and PowerPoint
