Position Purpose & Summary
Senior lawyer with experience in corporate groups to work on (i) obtaining Merger Clearance before the Federal Trade Commission (FTC) and Department of Justice (DOJ). European Commission and other merger filings agencies globally, (ii) global competition compliance programs, and counseling businesses on antitrust issues in their business practices. Merger clearance includes all competition/antitrust matters relevant to Merger & Acquisition (M&A) transactions (including Joint Ventures), ranging from substantive antitrust strategy, feasibility analysis, to management and execution of global competition filings, to counseling on post-filing and pre-closing activities. Competition compliance programming accountability includes deploying relevant policies, training & communications, and risk assessments. The role will be part of our Global M&A Team.
40% Merger Clearance strategy and counseling. Deeply understand company’s transaction strategy and targets and provide strategic counsel on competition risk of potential counterparties and transactions. Create strategies for obtaining merger clearance for M&A transactions globally. Counseling on post-filing and pre-closing activities
20% Merger Clearance filings – This activity is staffed with paralegal support. Assess global merger filing requirements and coordinate merger filings (including US HSR filings and EU Form CO filings). Manage multiple competition agency reviews on complex transactions, including US second requests. Build global network with key legal and functional resources to improve merger clearance risk tolerance and reduce reliance on external experts.
10% Merger Clearance systems – This activity is staffed with paralegal and AA support. Build process and work systems to improve efficiency and effectiveness of the merger control team, including creation of new tools, use of new technology to analyze deals and systematically manage merger filing processes. Deploy systematic and trackable activities to measure team efficiencies and effectiveness reducing reliance on outside legal counsel, helping other Cargill functions to better understand merger control processes, risks and opportunities.
20% Global competition compliance program. Assure that company has an overall effective competition compliance program through appropriate policies, training & communication, monitoring & auditing. Conduct risk assessment activities to drive program priorities. Deploy systematic and trackable activities to measure program effectiveness.
10% Global competition compliance program Counseling. Counsel commercial lawyers and businesses on antitrust issues in their businesses, including horizontal and vertical issues.
Minimum Required Qualifications
Law degree and license to practice law, minimum of 7 years practice experience.
Competition experience, including global merger competition and antitrust counseling.
JD from an ABA-approved law school and active member in good standing of the bar.
Strong leadership skills, proven ability to influence at all levels within the organization.
Ability to effectively manage conflict and apply judgement in counseling.
Proven ability to serve as a strong business partner and proven history of building trust with others.
Strong history of coaching/developing others.
Creative, resilient, and flexible style and approach to solving legal problems, with high tolerance for ambiguity.
Superior risk management skills with proven capacity to think strategically and deeply about issues of significant risk and opportunity.
Strong organizational skills, with a demonstrated ability to handle, prioritize, and follow through on numerous projects simultaneously; strong project management and execution skills.
Excellent English language skills required (reading, speaking and writing).
Stellar professional and academic credentials required.
Experience working in a complex, matrixed environment.
Prior experience working with global organizations.
Experience handling complex transactions.
Prior experience working at Federal Trade Commission, Department of Justice or European Commission.
Preference for second language (e.g. Spanish, Portuguese)
