Advertising Council VP, Legal and Business Affairs in New York, New York
Working as the sole legal counsel for an organization with over 100 employees that creates and executes communication strategies for 40+ campaigns each year, theVP, Legal and Business Affairsplays a key role in executing the mission of the Ad Council.
In a given week, you may find yourself reviewing and negotiating contracts with ad agencies, clients and vendors, reviewing talent releases, preparing for board committee meetings, obtaining state sales tax exemptions, pricing new services in close collaboration with the CFO, determining which Federal Acquisition Regulations should apply to our federal contracts, and reaching out to music houses to license songs for our commercials.

ROLES AND RESPONSIBILITIES:
TheVP, Legal and Business Affairsreportsto the Head of Business Operations and Strategy and works with members of all departments, but primarily the Finance, Marketing and Communications and Campaign Development teams.
Drafting, negotiating and revising contracts.
Ensuring compliance with contracts, government rules and contracting regulations.
Overseeing contract review process and contract distribution.
Advising internal clients on legal issues concerning advertising and marketing campaigns.
Serving as legal advisor to CEO and senior management on all key business transactions and strategic projects.
Ensuring compliance with applicable laws and governing documents with respect to nonprofit governance and board matters.
Evaluating agreements and business opportunities and their impact on business and pricing models, reporting, and compliance. This includes identifying opportunities from both existing and pending business arrangements.
Selecting, managing and overseeing outside counsel.
Participating in special projects as needed.
Undergraduate and JD degrees, and admission to the NY bar.
5 years of legal experience in a relevant industry and contracting experience, which may include government procurement and reporting, media, advertising agency, non-profit, intellectual property, and/or compliance
Ability to work independently and on a team and manage multiple projects concurrently in a fast-paced environment.
Ability to manage, plan and organize significant work flow.
