Astellas is announcing an Assistant General Counsel, Development opportunity in Northbrook, IL.

Purpose & Scope:

As a member of the Development & Commercial Strategy legal team, responsible for providing practical, timely and high quality legal contract support and counseling to a broad spectrum of functional areas including: Global Medical and Development; Contracts & Outsourcing; Astellas' US research affiliates; Marketing Strategies; and Shared Services (e.g., HR, Finance, and Corporate Communications).

Independently provides leadership on cross-functional teams, identifies legal issues, provides legal options and analysis of possible legal solutions, and gives recommendations for critical issues so that business and legal objectives are met. Advises and consults with employees, managers and senior management, and educates clients about ongoing initiatives and proactive measures being undertaken within Legal to appropriately manage legal risk consistent with expectations, domestic and global.

The ultimate responsibility of this position is to facilitate the needs and objectives of the Company by providing timely and effective legal support to each of these functions and minimizing potential legal exposure and risk.

Essential Job Responsibilities:

Serves as Legal advisor on business projects with minimal supervision. Recognizes and balances various interests and responsibilities of Legal and business client functions. Clearly and effectively renders practical, timely legal advice.

Analyzes complex issues/concepts on a timely basis and memorializes them in well-developed agreements. Arrives at balanced solutions in contract negotiations.

Creatively resolves complex legal issues in a manner that fosters the Company's business interests and advances Company's goals.

Works collaboratively and creatively with internal clients and provides broad spectrum legal contracting support, including day to day counseling. Clearly and effectively renders practical, timely legal advice.

Serves as primary Legal advisor in the negotiation and settlement of business disputes to avoid litigation and protect the Company's interests.

Performs special projects as assigned and demonstrates leadership ability on a wide range of issues. Represents Legal department on cross-functional committees, both domestic and global.

Collaborates with Legal colleagues in intersecting areas of IP, regulatory, litigation/risk management and insurance, including colleagues in Japan and the US.

Identifies, develops and implements business process improvements that will enhance the delivery of legal counsel in supporting transactions and related business decision-making.

Identifies training needs within client groups and assists in the development and presentation of training on relevant laws, regulations and legal/business issues.

Manages outside counsel work so that it is timely and cost-effective. Works creatively with outside counsel on budgetary issues (including preparation and management of budgets and forecasts) to minimize fees and costs to resolve issues effectively.

Travel, including international travel, as needed.

Quantitative Dimensions:

Responsible for operating within the Legal budget, and any applicable project specific budgets.

Organizational Context:

This position reports to the Deputy General Counsel, Development & Commercial Strategy, within the Legal Department.



Juris Doctor and license to practice law.

Minimum of 10 years related experience in corporate legal department or law firm.

Strong negotiation, oral and written communication, presentation, training, organizational, and teamwork skills required.

Self-motivated, innovative, strategic, detail-oriented and able to provide high quality and timely work product. Able to manage multiple projects and work successfully in a fast paced environment under time deadlines.

Works independently with minimal supervision.

Ability to analyze Legal issues and propose options and recommended course of action.

Understanding of and ability to manage the cultural and logistical challenges of working with a foreign parent company and global organization.

Ability to effectively deliver legal presentations to internal groups to train and educate.

Knowledge and understanding of legal issues affecting the pharmaceutical industry, including US regulatory processes for prescription drugs and US anti-kickback, anti-bribery/anti-corruption and antitrust laws).

Working knowledge of ex-US legal developments that affect decision-making in US and global businesses. Knowledge and understanding of the prescription pharmaceutical industry, including IP, manufacturing, R&D, regulatory and commercial elements.

Prior legal experience handling transactional legal and counseling matters for a company in the pharmaceutical or biotechnology industry


License to practice law in Illinois.

Experience in working as in-house counsel responsible for transactional and counseling legal matters in the prescription pharmaceutical industry.
