Ecolab Inc Staff Attorney II in St. Paul, Minnesota

Are you an attorney looking to join a Fortune 500 Company's expanding in-house legal practice? Ecolab has an opening in its Corporate Law department in St. Paul, MN, which will function as the primary legal contact for Ecolab's North American Food & Beverage Division regarding commercial matters, including drafting and negotiating contracts, customer matters, training and other assigned commercial matters. Ecolab's Food & Beverage Division provides cleaning and sanitation solutions to food, beverage and dairy processing and manufacturing environments. The Staff Attorney II position will support day-to-day commercial legal questions brought to it by Division associates and external parties, including the Division's customers and vendors. The person in this role will be asked to develop credible working relations with the Division's associates, execute timely and comprehensive contract administration and ensure that the Division's best interests in its relationships with customers and business partners are appropriate, achievable and risks are minimized. What You Will Do: Represent the Division's best interests in its relationships with customers, vendors and other business partners. Draft, review and negotiate commercial agreements for Food & Beverage, NA. Ensure timely and comprehensive contract administration. Assure that customer documentation is appropriate, the Division's contractual obligations are achievable and risks are minimized. Advise the Division's senior managers, sales and functional associates on legal and commercial matters. Assist with development of training materials for sales, marketing and other Division associates; conduct training to Food & Beverage, NA on commercial concepts, compliance, and contracting best practices. Review marketing and other sales materials for legal compliance. Assist the Division's senior attorney with other assigned matters, including M&A due diligence and customer claims. Participate on the North American F&B Leadership Team to provide guidance on commercial and liability issues. Minimum Qualifications: Law degree from an accredited U.S. law school and admissiion to the Bar. Three years of law firm or in-house commercial contracting experience.
