Associate Corporate Counsel (181634) The Associate Corporate Counsel represents TCF in a varietyof legal and/or compliance-related matters under direct supervision fromManaging Legal Counsel or Chief Legal Counsel. Major Areas of Accountability A. Perform a variety of routine legal assignments andprojects for TCF's officers and/or employees, act as a liaison with outside lawfirms, and potentially represent or assist in representing TCF in certainlitigation. B. Develop in-depth knowledge and expertise in one or moresubstantive legal practice areas, such as consumer financial transactions,commercial financial transactions, corporate law, regulatory compliance orelectronic commerce. C. Work with representatives from various business lines ondeveloping and modifying practices and procedures to conform to legal requirements.Ensure all forms, policies and procedures of TCF are in compliance with allapplicable regulatory requirements. Assist in drafting, formulating and implementing corporate legal policyconcerning a variety of issues. D. Perform simple to moderately complex legal, complianceand transactional research and analysis, and relative to such research andanalysis, make recommendations as to the degree of risk to TCF, and communicateor escalate significant risks and issues to a more senior attorney, manager ordirector as appropriate. E. Prepare and review contracts involving leases, licenses,purchases, sales, real estate, employment, insurance and other matters or otherbusiness line related documents. F. Represent TCF's interests in dispute resolution. G. Keep informed of legislation and new regulationsaffecting various company operations. Study proposed and existing legislation and regulatory guidance. Advise Senior Legal Counsel or businessunits, as appropriate. H. Research and provide recommendations to assist withrepresenting the corporation on a variety of legal matters before regulatoryagencies, including applications, examinations and requests for interpretiveguidance. I. Lead with integrity, demonstrate ethical behavior, andset an example for regulatory compliance at the department and business levels. Minimum Qualifications Education Required: * Lawdegree (J.D. or L.L.M.) * Licensedto practice law in appropriate states/jurisdictions Required Work Experience/ Skills * 0-2 years related work experience in legal department of afinancial institution or law firm representing financial institutions * Ability to deal effectively and confidently withattorneys, business leaders, and management * Excellent communication skills, both written and verbal * Knowledge of laws, rules and regulations which affect theactivities and proposed activities of TCF * Credibility with business leaders, supervisory authoritiesand government agencies * Ability to travel Preferred Work Experience/ Skills * Prior law firm internship or judicial clerkship * Law review experience * Work experience in financial institutional law * Ability to research legal issues in out-of-statejurisdictions * Legal experience in the areas of real estate, corporategovernance, securities compliance, mergers & acquisitions, and executivecompensation and benefits Physical Demands/Working Conditions * Sedentary Work.
